Wilson L. Fletcher, MBA, CPA
Wilson L. Fletcher, MBA, CPA, has been a banking executive for over 25 years and has served as a financial service consultant for major Texas corporations, such as, AccuBanc Mortgage Company, Dallas; Diamond Shamrock Corporation, San Antonio; Texaco (Star Enterprise) Houston; Conoco Oil Corporation, Houston; VBFSB Bank Holding Corporation, Dallas. Mr. Fletcher has held the CEO title in six financial institutions as well as executive positions in three additional financial institutions. He has a broad range of experience in financial services, including Internet Bank formation, ATM analysis, check cashing systems, credit card programs, consumer lending, credit card banking, insurance products including annuities and numerous other financial products. He has prepared extensive business plans with financial projections, written sales manuals, and created policies and procedures for banks. Mr. Fletcher has assisted Attorneys and Investment Bankers with IPO's, Private Placement prospectus, Financial Regulatory guideline and compliance issues. He brings a wide spectrum of financial and business experience within the Texas Metroplex areas. He will serve as President and CEO of Westchase Holding Corp.

Dr. Michael M. Rabie
Dr. Michael M. Rabie has lived in Houston for the last 40 years. He earned his bachelor's degree in chemistry from Stephen F. Austin University, and his Master's degree in Business Administration from Texas Southern University, and his Doctorate degree from Colorado Technical University in Business Management. Dr. Rabie is the Chief Executive Officer of Association Healthcare Management, Inc. (dba Family Care), a nationwide PPO network and a medical benefits company offering affordable healthcare programs. Family Care is doing business in 48 states, primarily through insurance agents and marketing representatives, and is one of the largest medical networks in the country. Family Care's programs make affordable healthcare accessible to everyone. Dr. Rabie has worked as a Corporate President, Investment Banker, Stockbroker, Real Estate Broker, and Healthcare Management Executive. Dr. Rabie brings extensive Houston business contacts to the Company. He will serve as Chairman of the Board and Chief Operating Officer for Westchase Holding Corp.

Bevery L Valore ESQ. M.S.
Beverly L. Valore ESQ. M.S. is a licensed attorney in the New Jersey state and federal jurisdictions. She has served on the boards of publicly traded companies and particularly Medifast (NYSE) functioning on the audit and compensation committees. She has served as house counsel to privately held companies and is the founder of Cybercourt Corporation a business and financial consulting firm. Ms. Valore has extensive litigation experience and has served on the board of the American Trial Association (NJ) as well as writing for Trial Magazine. It is anticipated that Westchase Bancshares Corp. will have independent legal counsel. Ms. Valore graduated from Rutgers School of Law in 1990 and also holds a masters degree from Drexel University. She has extensive experience with information management in the financial, business and legal fields. She will serve as General Counsel for Westchase Holding Corp.

Thomas L. Murphy ESQ.
Thomas L. Murphy ESQ. is a licensed attorney in the New Jersey and Pennsylvania state and federal jurisdictions. He has served on publicly traded companies. Mr. Murphy was the compliance officer for Resorts International Hotel Inc., the first licensed casino in Atlantic City N.J. At Resorts he later functioned in the audit department performing overall operational and financial audits. Mr. Murphy graduated from Stockton College with a degree in accounting and finance and a law degree from Widener University. He will serve as Treasurer for Westchase Holding Corp.

Michael Roy ESQ.
Michael Roy ESQ. currently serves as Vice President and General Counsel of WCA Waste Corporation (NASDAQ:WCAA), a Houston-based public waste management services company. Prior to joining WCA Waste, Mr. Roy served as a key member of the senior management teams of three locally owned and operated Houston commercial banks. Over his 17-year banking career, Mr. Roy served as the founder and CEO of The Right Bank for Texas, N.A. (n/k/a Independence Bank, N.A.), Senior Vice President and General Counsel of Sterling Bank, and Senior Vice President and General Counsel of Charter Bank. Mr. Roy worked as a corporate securities and mergers and acquisitions attorney with two Houston law firms prior to moving into the banking industry in 1989, at which time he was the youngest general counsel of a publicly-traded financial services company. He holds a Bachelor of Arts degree from Northwestern University and a Doctorate of Jurisprudence from the University of Houston Law Center. Mr. Roy will serve. as Director of Mergers and Acquisitions for Westchase Holding Corp.

Chris Malick
Chris Malick is the CEO of Geneva Company, a venture capital advisory and management consulting firm in Houston, Texas. He provides consulting services to private equity, venture capital, hedge funds and operating companies in the manufacturing, technology, telecommunications, finance, health care, oil and gas industries regarding funding, mergers, business development, corporate development and strategic partnering. Geneva provides outsourced support for sales augmentation, financial and tax reporting and due diligence reviews related to merger and acquisition transactions. Mr. Malick has been in the information technology industry since 1985 and the real estate and venture capital industries since 1988. He managed all operations as CFO and VP of Sales for General Datatech, a Gold Cisco value added reseller in Dallas from 1993 to 2002. His unique strengths are in combining his expertise in operations and investment analysis on behalf of his clients. He has worked for Merrill Lynch as a broker, APS Financial as a bond trader and Bristol Investment Group as a managing director specializing in early stage venture and mezzanine funding. Mr. Malick is a graduate of Princeton University's Engineering program and the University of North Carolina at Chapel Hill's Kenan Flagler MBA program. He will serve as CIO for Westchase Holding Corp.

Omar Kasani, CPA, MBA
Omar Kasani, CPA, MBA is a graduate of the University of Jordan and California State University. He is licensed to practice accounting in the states of Texas, California and Virginia.He served as a senior auditor at Deloitte and Touche before establishing his own private practice. He has been a consultant to major oil and gas companies. Mr. Kasani is the Financial Controller for Family Care Inc. in Houston, Texas. He also serves a broad cross section of business clients. Mr. Kasani will serve as CFO for Westchase Holding Corp.

Robert R. Burchfield BA, MAI
Robert Burchfield is a graduate of Rice University and has achieved brokerage and development of over $450 million of commercial and industrial properties. Burchfield Development Companies have completed over $125 million of apartment housing since 1995. As President and CEO of the divisions of Burchfield Development Companies, he has supervised the planning, financing, bidding, construction, marketing and reselling of residential, apartment and commercial properties. His experience in real estate extends beyond development, building and selling. He has participated in the appraisal of properties for the City of Houston, Shell Oil, General Services Administration, the Moody Foundation and numerous financial institutions. He is also accredited in the prestigious Society of Industrial Realtors. Mr. Burchfield has been involved in all types of industrial, commercial, and residential real estate brokerage challenges.He has exposure with land planning, area feasibility studies, economic forecasting for development. He has been involved with industrial park development, site purchase for light industry, shopping center marketing, office building leasing and sale, single purpose retail, and all aspects of warehouse development.His brokerage clients include American Can, United States Steel (in which he participated with the team that assembled over 20,000 acres for the U.S. Steel plant in Baytown, Texas), Shell Oil, Shell Chemical, Lone Star Cement, Dresser Industries, large and small developers, banks, savings and loans associations.

Kennie E. Matthews, BS
Kennie E. Matthews is a graduate of Auburn University with a degree in electrical engineering. He is internationally respected as an executive with capital equipment sales and marketing experience. He has structured domestic and international financial transactions. As founder and CEO of Meridian Finance Partners Inc. based in Houston, he has implemented transactions in commercial real estate, equipment leasing and capital loans. He has prior experience with Brown and Root Engineering and Cooper Industries in engineering and technical sales. He brings extensive general management and private company board experience to the Westchase Team. Mr. Matthews has strong connections to the energy and technical sectors within Texas which provide strength to the economic and financial markets.
